1. Acceptance of Terms


By accessing or using the Loca website, mobile applications, text messages, text chat bot, chat bots or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity. You must be at least 18 years old and legally capable of entering into contracts. If you do not agree with any part of these Terms, you may not use the Service.

2. Description of the Service


Loca is a platform that:

  • Connects businesses, landlords, property managers, and service professionals (collectively "Businesses/Property Managers") with content creators/influencers ("Creators") for promotional campaigns, and
  • Provides property-management and rental tools that allow Property Managers to list rental units, screen and communicate with tenants ("Tenants"), collect rent and security deposits, manage leases, maintenance requests, and other rental-related services.

We are NOT a party to any agreement between Businesses/Property Managers and Creators, nor to any rental agreement, lease, or transaction between Property Managers and Tenants. We do not own, manage, or lease any real property. We simply provide the venue and tools; all contractual relationships and liability remain solely between the users themselves.

3. User Categories & Specific Obligations


A. All Users (Creators, Businesses/Property Managers, Tenants, Service Professionals)

You agree to:

  • Provide accurate, current, and complete information and keep it updated.
  • Maintain the confidentiality of your password and immediately notify us of any unauthorized use of your account.
  • Comply with all applicable laws, including FTC disclosure rules, Fair Housing Laws (federal, state, and local anti-discrimination laws), copyright, privacy, and licensing requirements.
  • Use the Service only for lawful purposes.

You must NOT:

  • Upload viruses, malware, spam, or harmful code.
  • Harass, intimidate, impersonate, or discriminate against others.
  • Infringe third-party intellectual property or privacy rights.
  • Use automated tools (bots, scrapers, etc.) without our prior written permission.
  • Transfer or sell your account without our consent.

B. Creators (aka The Cool Influencer Squad)

You're rolling as your own boss – independent contractor vibes only!

  • Every time a Business or Property Manager hooks you up with perks, cash rewards or anything juicy, you gotta shout it from the rooftops with #ad, #sponsored, #gifted, or whatever the law says. Transparency.
  • Only serve the real tea – everything you post has to be 100% honest, based on stuff you've actually experienced, legit property facts, or the official promo goodies they gave you.
  • Keep the energy sunny and fabulous! We're here to hype things up and make people go "I need to go there now," not to throw shade. Positive vibes only,
  • Everything stays squeaky-clean and "G-rated" – think Disney Channel, not late-night cable. No spicy adult stuff, no swearing, no pics that would make grandma clutch her pearls. Keep it kid-friendly and wholesome!
  • If you use someone else's music, photo, meme, or anything that isn't yours, make sure you've got full permission or the proper license. No sneaky borrowing – we play fair!
  • Rock on, legends! Let's make the internet a happier (and prettier) place and support local businesses.

C. Businesses & Property Managers

  • You are solely responsible for the accuracy of your listings, campaigns, and rental units.
  • You represent and warrant that you own or have authority to rent/manage/list the property or run the campaign.
  • You will not wrongfully withhold security deposits, deny access, or fail to disclose material defects.
  • You agree to respond to leasing inquiries and process authorized payments in a commercially reasonable time (typically within 24–48 hours).
  • You will comply with all Fair Housing Laws and will not discriminate on the basis of race, color, religion, sex, national origin, disability, familial status, source of income, or any other protected characteristic.
  • You are responsible for obtaining and maintaining adequate insurance for your properties and activities.

D. Tenants

  • You are responsible for providing truthful information in applications and payments.
  • You agree to use rental units in accordance with the lease and applicable law.

4. Content & Licenses


You retain ownership of content you upload or create ("User Content"). However, by uploading or posting User Content, you grant Loca a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, display, reproduce, modify, distribute, and create derivative works of the User Content as necessary to operate, improve, and promote the Service and our business. Creators additionally grant the applicable Business/Property Manager a limited, non-exclusive license to use campaign-related content in their own marketing. Property Managers grant us the right to syndicate listings (including photos) to third-party sites and partners.

5. Payments, Rent, Deposits & Fees


  • All financial transactions (campaign payouts, rent payments, security deposits, subscription fees, service fees, etc.) are processed through our third-party payment processor (currently Stripe or similar).
  • You authorize us and our payment processor to verify, authenticate, and process transactions, including ACH debits/credits and card charges.
  • All fees charged by Loca are non-refundable except as required by law.
  • You are solely responsible for all taxes on amounts you pay or receive.
  • We may reverse transactions, deduct fees, or pursue recovery for chargebacks, disputes, or reversals.
  • Rent payments, security deposits, and refunds are processed according to the instructions you provide; we are not liable for disputes between Property Managers and Tenants.

6. Subscriptions & Auto-Renewal


Paid subscriptions auto-renew for the same term at the then-current rate unless you disable auto-renewal in your account settings at least 5 days before the renewal date. Price changes become effective on the next renewal; continued use constitutes acceptance.

7. Fair Housing & Non-Discrimination


You agree to comply with all Fair Housing Laws. Listings or content that discriminate or imply discrimination will be removed, and accounts may be suspended or terminated without refund.

8. Disclaimer of Warranties


THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY PROPERTY, CAMPAIGN, OR TRANSACTION WILL BE SAFE OR SUCCESSFUL.

9. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCA AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

10. Indemnification


You agree to defend, indemnify, and hold harmless Loca and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your listings, your transactions with other users, or your violation of these Terms or any applicable law.

11. Termination & Suspension


We may suspend or terminate your account or access to the Service at any time, for any reason, without notice or liability. Upon termination, all licenses and rights granted to you cease immediately.

12. Changes to Terms


We may modify these Terms at any time. We will post the updated version and new "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law


These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

14. Arbitration Agreement & Class-Action Waiver


Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Travis County, Texas.

You waive any right to a jury trial or to participate in a class or representative action. The arbitrator may award the same relief as a court but only on an individual basis. Small-claims court remains available for qualifying claims.

15. Miscellaneous


  • These Terms constitute the entire agreement between you and Loca.
  • If any provision is unenforceable, the remainder remains in effect.
  • We may assign these Terms; you may not without our written consent.
  • No agency, partnership, or employment relationship is created.
